Chapter 1 General Provisions
1: The foundation is named the International Cultural and Educational Exchange Foundation (hereinafter referred to as the "Foundation").
2: The Foundation has its headquarters in Los Angeles, USA, and may set up branches according to work needs.
3: Purpose- The purpose of the Foundation is to promote international cultural exchanges and education, enhance friendship and understanding among people of all countries in the world, promote the development of global cultural diversity, and make positive contributions to social progress and development.
4: Mission- The mission of the Foundation is to promote cross-cultural understanding and cooperation, improve people's awareness and respect of different cultures, and promote the development of education through various educational projects, activities and initiatives.
5: Funding sources- The foundation’s funds mainly come from member donations, government funding, corporate sponsorships, project income and other channels.
6: Organizational form- The Foundation is a non-profit organization, registered in accordance with the law, and operates independently.
7: Public welfare nature- All activities of the Foundation are of a public welfare nature and do not seek any economic benefits. All income will be used to achieve the purpose and mission of the Foundation.
Chapter 2 Members
8: Members- The Foundation has members, which are divided into ordinary members and board members.
9: Member Rights- Members have the right to participate in various activities of the Foundation, the right to make suggestions and opinions, and the right to elect and be elected.
10: Member Obligations- Members should abide by this Articles of Association and the provisions of the Foundation, actively participate in various activities of the Foundation, and protect the legitimate rights and interests of the Foundation.
11: Board of Directors- The Foundation has established a Board of Directors, which is the highest decision-making body of the Foundation.
12: Board members- Board members are elected by the foundation, including the chairman, vice chairman, secretary-general, etc., with a term of (year/month/day).
13: Powers of the Board of Directors- The Board of Directors is responsible for formulating the foundation’s development plans and work policies, and supervising and inspecting the foundation’s various work.
Chapter 3 Organizational Structure
14: Secretariat- The Foundation shall establish a Secretariat to be responsible for daily management and transaction processing.
15: Department Setup- Based on work needs, the foundation will set up corresponding departments, such as the Finance Department, Project Department, Publicity Department, etc.
16: Personnel Appointment and Removal- The Board of Directors is responsible for the appointment and removal of staff of the Foundation, and appoints personnel with relevant professional background and experience.
17: Working System- The Foundation has established a sound working system to clarify various work responsibilities and authorities to ensure efficient operation of work.
Chapter 4 Financial Management
18: Financial Transparency- The foundation’s financial management should comply with relevant laws and regulations to ensure the transparency and compliance of financial revenues and expenditures.
19: Use of funds- The use of funds by the foundation should comply with the requirements of the foundation's purpose and mission, and must not violate laws and disciplines to ensure the effective use of funds.
20: Financial Audit- The Foundation conducts regular financial audits to review and supervise the Foundation’s financial status and fund usage.
21: Financial Report- The foundation should publish financial reports regularly and disclose the financial status of the foundation to all sectors of society.
Chapter 5 Amendment to the Articles of Association
22: Modifications to this Article of Association must be approved by more than two-thirds of all members of the Board of Directors and reported to the corresponding competent department for filing.
Chapter 6 Supplementary Provisions
23: This Article of Association shall take effect from the date of promulgation and may be revised if necessary.
24: The right to interpret this charter belongs to the Foundation Board of Directors.
25: Matters not covered in this Charter shall be supplemented and explained by the Board of Directors based on the actual situation.
